1. Acceptance of Terms

By accessing or using the RunStocks website and platform (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and RunStocks ("Company," "we," "us," or "our").

If you are accessing the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

RunStocks is a data analysis platform that provides stock character analysis, historical gap and run data, intraday price action breakdowns, and related analytical tools for informational purposes. The Service is intended to help users make more informed trading decisions but does not constitute investment advice, financial advice, or a recommendation to buy or sell any security.

RunStocks is not a registered investment advisor, broker-dealer, or financial institution. All content is for educational and informational purposes only.

3. Accounts & Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, complete, and current information
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept responsibility for all activity under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years of age to create an account. We reserve the right to refuse registration or cancel accounts at our discretion.

4. Subscriptions & Billing

4.1 Free Plan

RunStocks offers a free tier with limited features. The free plan may be modified or discontinued at any time with reasonable notice.

4.2 Paid Plans

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

4.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods, except as required by applicable law or under our 7-day satisfaction guarantee for new subscribers.

4.4 Price Changes

We reserve the right to modify pricing with at least 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new price.

5. Acceptable Use

You agree not to use the Service to:

  • Scrape, crawl, or systematically extract data without prior written consent
  • Redistribute, resell, or sublicense the data or content provided by the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Circumvent any rate limiting, access controls, or security features
  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Impersonate any person or entity or misrepresent your affiliation

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of RunStocks and its licensors. The RunStocks name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of RunStocks. You may not use such marks without our prior written permission.

Data provided through the Service is licensed to you for personal, non-commercial use only under your subscription plan. You may not use Service data for commercial purposes, redistribute it, or create derivative works without our express written consent.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA.

We do not warrant that (a) the Service will meet your requirements, (b) the Service will be uninterrupted, timely, secure, or error-free, (c) the data or information provided will be accurate, reliable, or complete, or (d) any errors will be corrected.

Past performance data presented in the Service does not guarantee future results. Trading securities involves substantial risk of loss.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RUNSTOCKS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO RUNSTOCKS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice for material changes by posting the new Terms on this page and updating the "Effective Date." Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
